Distribution by Capital A Berhad ("Capital A" or "Company") of 1,692,307,692 new ordinary shares in AirAsia X Berhad ("AAX"), being part of the consideration shares to be received from AAX pursuant to the disposal by Capital A of its 100% equity interest in AirAsia Aviation Group Limited to AAX, to the entitled shareholders of Capital A by way of a reduction and repayment of the Company's issued share capital pursuant to Section 116 of the Companies Act 2016 ("Distribution")

2) The last date of lodgment : 03 Dec 2025

Remarks :

Reference is made to the Company's circular to shareholders dated 20 September 2024 ("Circular") in relation to, amongst others, the Distribution. Unless otherwise stated, the words and abbreviations used herein shall have the same meaning as the Circular.

The shareholders of Capital A whose names appear in the Record of Depositors of the Company as at 5.00 p.m. on Wednesday, 3 December 2025 ("Entitlement Date") shall be entitled to the Distribution Shares ("Entitled Shareholders"). The Entitled Shareholders will not be required to pay for their entitlements to the Distribution Shares.

The actual number of Distribution Shares which the Entitled Shareholders will receive under the Distribution will be calculated based on the following formula:

[(No. of Capital A Shares held by Entitled Shareholder on the Entitlement Date) / (No. of Capital A Shares in issue on the Entitlement Date)] x Total Distribution Shares of 1,692,307,692 AAX Shares

For illustration purpose, based on the total number of 4,349,395,952 Capital A Shares in issue as at 18 November 2025, the Distribution Shares are expected to be distributed on the basis of approximately 389 AAX Shares for every 1,000 Capital A Shares held by the Entitled Shareholders as at the Entitlement Date.

Fractional entitlements to the Distribution Shares, if any, will be disregarded and dealt with in such manner or terms as the Board in its absolute discretion deems fit and expedient, and in the best interest of the Company.

The exact amount of issued share capital of the Company to be reduced to facilitate the Distribution is dependent on the closing price of AAX Shares on the Entitlement Date. The Company will make the required applications to the High Court of Malaya after the Entitlement Date to seek the final court order based on the exact amount of issued share capital to be reduced. The share capital reduction and repayment to facilitate the Distribution will take effect upon lodgement of the final sealed court order of the High Court of Malaya with the Registrar of Companies. Capital A will implement the Distribution upon the lodgement of the final sealed court order with the Registrar of Companies and issuance of the Distribution Shares by AAX.

Holders of outstanding RCUIDS/Warrants who wish to be entitled to the Distribution Shares should exercise their rights to convert into/subscribe for new Capital A Shares by lodging the duly completed conversion forms by RCUIDS holders/exercise forms together with the relevant subscription monies by Warrant holders with the Company's Share Registrar, Tricor Investor & Issuing House Sdn. Bhd. on or before 5.00 p.m. on 24 November 2025. This is to enable the new Capital A Shares arising from such conversion/exercise to be allotted to the respective holders of RCUIDS/Warrants such that their names will appear in the Company's Record of Depositors as at 5.00 p.m. on the Entitlement Date.
